Private Cloud Terms

Private deployment means BabelBird software is deployed in the customer's data center, customer-managed cloud resources, dedicated cloud or agreed runtime environment. Licensed accounts, modules, deployment scope, implementation work, acceptance criteria, maintenance term, fees and service level are governed by the contract, order, supplemental agreement or implementation plan.

License And Scope

  • The software license is usually a limited, non-exclusive, non-transferable and non-sublicensable license.
  • Customers may use BabelBird only for internal management, collaboration, operation and agreed purposes.
  • Without written authorization, customers must not sell, resell, lease, transfer, sublicense, copy, reverse engineer, bypass license limits or build competing products based on BabelBird software.
  • If affiliates, branches or specified entities may use the software, the scope should be written in the contract or supplemental agreement.

Customer Environment

The customer is responsible for servers, storage, network, domain names, certificates, database, operating system, third-party systems, remote access and security policies that meet deployment requirements. Service unavailability or data loss caused by customer hardware failure, disk damage, network interruption, third-party system changes, customer misoperation or missing backups is usually the customer's responsibility. The service provider should assist troubleshooting and recovery within the maintenance scope.

Deployment, Maintenance And Upgrade

The service provider supplies installation, deployment, debugging, training, maintenance, defect fixes and version upgrades as agreed. Maintenance period, response time, upgrade scope, remote support, on-site support and custom development are governed by the contract or maintenance agreement.

Acceptance And Data Export

After deployment, functions, performance, permissions, security and integrations should be accepted as agreed. When a contract ends, customers retain and manage data in their own environment. Assistance with export, migration or deletion should be defined by contract or supplemental agreement.

BabelBird capabilities may change by product version, licensed modules and deployment configuration; actual availability depends on the deployed environment and administrator settings.
